Seeking a Corporate Counsel professional with an understanding of legal frameworks in the construction or EPC industries.
Key Responsibilities:
Lead the negotiation and execution of a wide array of commercial agreements, including but not limited to service contracts, procurement documents, licensing deals, confidentiality agreements, and equipment leases.
Oversee legal aspects of real estate transactions, including drafting and negotiating leases, subleases, licenses, and property sales, while ensuring ongoing compliance with lease obligations.
Evaluate procurement and sourcing contracts to ensure alignment with legal standards, internal policies, and risk management protocols.
Collaborate with executive leadership to shape and enforce governance frameworks, compliance strategies, and internal policies in accordance with applicable laws and industry regulations.
Support project teams by providing legal guidance on regulatory and contractual obligations, ensuring operational compliance and proper incident response.
Deliver legal advice and contract support across a range of areas including construction law, employment matters, real estate, corporate governance, and commercial disputes.
Take on special projects and assignments as directed by executive leadership.
Qualifications & Experience:
Juris Doctor (J.D.) degree with 5+ years of relevant legal experience, preferably in the EPC or construction sector.
Active bar membership in Texas or eligibility for in-house counsel registration in Texas if licensed in another state.
Demonstrated expertise in managing complex procurement and subcontractor agreements.
Proven ability to work autonomously, manage cross-functional relationships, and engage with senior leadership.
Strong negotiation, drafting, and communication skills.
Business-oriented mindset with a commitment to delivering practical legal solutions.
Excellent organizational and interpersonal skills.
